Terms and Conditions

These Terms and Conditions (the “Terms”) constitute a legally binding agreement entered into between Expedite Business Solutions S.A.S., a company duly organised and existing under the laws of the Republic of Ecuador (the “Company”, “we”, “us” or “our”), operating the digital marketplace known as “Manolito” (the “Platform”), and every natural person or legal entity accessing or using the Platform (the “User”, “you” or “your”).
By creating an account, purchasing Manolitos, publishing a problem, submitting or accepting an offer or counteroffer, or otherwise accessing or using the Platform, you acknowledge that you have read, understood and accepted these Terms without reservation. If you do not agree to be bound by the entirety of these Terms, you must immediately discontinue any and all use of the Platform.
1. Definitions and Interpretation
In these Terms, unless the context otherwise requires: (i) “Buyer” means a User who publishes a Problem, question or knowledge need and evaluates Solutions proposed in response thereto; (ii) “Professional” means a User who submits or publishes a paid Solution addressing a Buyer’s Problem; (iii) “Problem” means a request describing a problem, question or knowledge-based need published by a Buyer through the Platform; (iv) “Solution” means a knowledge-based deliverable offered by a Professional against a Problem; (v) “Offer” and “Counteroffer” mean, respectively, a proposal for a paid Solution submitted by a Professional and a responsive price proposal submitted by a Buyer; (vi) “Manolito” or “Manolitos” means the platform’s internal prepaid purchase unit, which Buyers buy and spend exclusively to acquire Solutions; (vii) “Transaction” means a completed purchase of a Solution at an agreed price; and (viii) “Content” means any text, data, information or other material uploaded to, published on or transmitted through the Platform.
Headings are for convenience only and do not affect interpretation. Words in the singular include the plural and vice versa. References to statutes include amendments, re-enactments and successor legislation.
2. The Company and Scope of the Platform
The Platform is operated by Expedite Business Solutions S.A.S., a company incorporated under the laws of the Republic of Ecuador, with registered offices at [ADDRESS TO BE CONFIRMED], tax identification number [RUC TO BE CONFIRMED]. Manolito is an Ecuador-focused digital marketplace whose initial operating market is the Republic of Ecuador.
Manolito facilitates the sale of access to knowledge-based Solutions. It does not sell, broker or render traditional contracted services, and it is not a party to — nor an agent, trustee, escrow custodian or guarantor of — any agreement concluded between Buyers and Professionals, save as expressly provided herein. The Company acts solely as the operator of the technological infrastructure through which Users interact.
3. Eligibility and Accounts
Use of the Platform is restricted to natural persons aged eighteen (18) years or older who possess full legal capacity to contract. By registering, you represent and warrant that you satisfy these requirements and that all registration information supplied by you is true, accurate, current and complete.
You are responsible for maintaining the confidentiality of your account credentials, for all activities conducted thereunder, and for promptly notifying the Company of any unauthorised use or security breach. The Company is entitled to suspend or terminate accounts that violate applicable law or these Terms.
4. Marketplace Mechanics: Problems, Offers and Transactions
A Buyer may publish a Problem free of charge; publication does not obligate the Buyer to select any Offer. Every Solution offered through the Platform must be paid: free Solutions and zero-value transactions fall outside the marketplace model and are not supported. A Professional sets the price of the proposed Solution, expressed in Manolitos; a Buyer may submit a Counteroffer, which the Professional may accept or reject. An accepted Counteroffer becomes the agreed price.
Selection of a Solution identifies the Solution the Buyer intends to purchase but does not itself create a Transaction. A Transaction exists only once the Buyer and the Professional have an agreed price and the purchase succeeds. Upon a successful purchase, the agreed number of Manolitos is consumed from the Buyer’s balance and access to the Solution is granted.
5. Manolitos: Purchase, Validity and Limitations
Manolitos are prepaid, non-transferable, non-refundable internal purchase units and are sold in packages of thirty (30) Manolitos for United States dollars ten (USD 10), the official currency of the Republic of Ecuador. Manolitos are a licence to consume Solutions on the Platform; they are not electronic money, e-money float, a payment instrument, a security, a virtual asset, or legal tender, and they carry no monetary value redeemable from the Company except as expressly stated herein.
Purchased Manolitos expire three (3) months after their purchase date. Expired Manolitos are permanently extinguished, cannot be restored, and can no longer be used to purchase Solutions. It is the Buyer’s sole responsibility to monitor expiry dates. To the maximum extent permitted by applicable law, the Company shall have no liability for the lapse or forfeiture of Manolitos.
Commercial parameters, including package size, price and validity periods, may be varied by the Company in accordance with section 12 (Modification of these Terms).
6. Commissions, Professional Earnings and Payouts
For each completed Transaction, the Company retains a platform commission equal to twenty per cent (20%) of the sale value; the remaining eighty per cent (80%) constitutes the Professional’s earnings. No commission accrues in respect of proposals, selections, counteroffers, agreed prices or unsuccessful purchases that do not culminate in a completed Transaction.
Professional earnings first enter a “pending earnings” status subject to a twenty-four (24) hour release period commencing upon completion of the purchase; pending earnings are not eligible for payout. Following the release period, pending earnings become “available earnings” and are payable within the Company’s weekly payout cycle through a manual bank transfer arranged outside the purchase flow. Available earnings are not subject to the three-month expiry rule applicable to purchased Manolitos.
Professionals are solely responsible for declaring and paying all taxes, contributions and social security obligations arising from their earnings under the laws of Ecuador or any other jurisdiction in which they are tax-resident. Nothing in these Terms constitutes tax, accounting or legal advice.
7. Disputes and Internal Refunds
A Buyer may open one dispute for an eligible completed Transaction within the dispute window displayed by the Platform. The Professional may respond with relevant evidence, and a Superadmin may reject the claim, decide in the Professional’s favour, approve a full or partial refund, or retain the matter for manual review. Submitting a claim does not guarantee a refund.
An approved refund restores the authorised number of Manolitos through an auditable compensating ledger entry and adjusts the related internal earning and commission records. It is not a refund to a card, bank account or other external payment method. Completed payouts or confirmed transfers require manual reconciliation and are not represented as reversed external payments. Further details appear in the Dispute and Refund Policy Summary.
8. User Content, Licences and Acceptable Use
Users retain all right, title and interest in the Content they submit; provided that, by publishing Content, you grant the Company a non-exclusive, worldwide, royalty-free, sublicensable licence, for the term of protection, to host, display, reproduce, adapt and distribute such Content solely to operate, maintain, promote and improve the Platform.
You undertake not to: (i) post unlawful, infringing, defamatory, discriminatory or malicious Content; (ii) attempt to circumvent, decompile or overburden the Platform; (iii) misuse the reporting, negotiation or rating mechanisms; (iv) transact outside the Platform so as to evade commissions or consumer protections; or (v) misrepresent your professional qualifications. The Company may remove Content and restrict or terminate accounts that breach this section, without prior notice where required by law.
9. Intellectual Property
The Platform, including its name, marks, logos, “Manolito” branding, software, design and original documentation, is owned by or licensed to Expedite Business Solutions S.A.S. and is protected by Ecuadorian intellectual property legislation, including the Decision 351 of the Andean Community and the Código Orgánico de la Producción, Comercio e Inversiones, as well as applicable international treaties. No right or licence in respect thereof is granted to Users other than the limited, revocable access expressly contemplated herein.
10. Suspension, Termination and Effect
You may cease using the Platform at any time. The Company may suspend or terminate access, in whole or in part, for material breach of these Terms, for fraudulent or abusive conduct, or where required by competent authority or applicable law, subject to reasonable notice except in cases of urgency.
Upon termination, your right to use the Platform ceases immediately; unspent Manolitos are dealt with as provided in section 5 and applicable law. Provisions which by their nature are intended to survive termination — including intellectual property, disclaimers, limitations of liability, indemnities and dispute resolution — shall survive.
11. Disclaimers and Limitation of Liability
The Platform is provided on an “as is” and “as available” basis. To the maximum extent permitted by Ecuadorian law, the Company makes no warranty, express or implied, as to the accuracy, completeness, fitness for a particular purpose or uninterrupted availability of the Platform, and gives no assurance as to the outcome or commercial value of any Solution.
Solutions are authored and delivered by independent Professionals. Their content is informational and knowledge-based and does not constitute, and shall not be relied upon as, legal, tax, financial, medical, engineering or other regulated professional advice. Buyers remain solely responsible for decisions taken in reliance upon any Solution.
To the maximum extent permitted by law, the Company’s aggregate liability arising out of or in connection with these Terms shall not exceed the amounts actually paid by you to the Company in the twelve (12) months preceding the event giving rise to the claim, and the Company shall not be liable for indirect, incidental or consequential losses, loss of profits or loss of data. This limitation does not apply to liability that cannot be excluded or limited under mandatory Ecuadorian consumer-protection law.
12. Indemnification
You shall defend, indemnify and hold harmless Expedite Business Solutions S.A.S., its directors, officers and employees from and against any third-party claims, damages, losses and reasonable legal fees arising out of your breach of these Terms, your Content, your use of the Platform, or your violation of applicable law or of the rights of any third party.
13. Modification of these Terms
The Company may amend these Terms from time to time, including to reflect regulatory developments and changes to the Platform’s commercial parameters. Material amendments will be notified through the Platform or by electronic mail, together with an effective date. Continued use of the Platform after the effective date constitutes acceptance of the amended Terms; if you do not accept them, you must stop using the Platform.
14. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Republic of Ecuador, including the Ley Orgánica de Defensa del Consumidor and the Ley Orgánica de Protección de Datos Personales, without regard to conflict-of-laws principles. The parties shall first attempt in good faith to resolve any dispute amicably; failing settlement within thirty (30) days, the dispute shall be submitted to the competent courts of [CITY], Ecuador [or to mediation or arbitration under a mechanism to be confirmed by counsel], without prejudice to the non-waivable rights of consumers under mandatory Ecuadorian law.
15. Severability, Assignment and Entire Agreement
Should any provision of these Terms be held invalid or unenforceable, the remaining provisions shall continue in full force and effect, and the invalid provision shall be replaced by a valid provision reflecting the closest permissible economic intent. These Terms, together with the Privacy Policy and the Cookie Policy, constitute the entire agreement between you and the Company in respect of the Platform and supersede all prior or contemporaneous understandings relating thereto.
The registered-address, tax-identifier and governing-venue placeholders must be completed by the Company following Ecuadorian legal review before public launch.
